This transaction is currently undergoing a comprehensive review. OHA previously suspended the review on April 1, 2025, pending the outcome of a federal antitrust lawsuit. See the Suspension Order.


On August 7, 2025, federal authorities announced a settlement had been reached in the lawsuit. OHA has now resumed its review and will issue a Proposed Order consistent with the timeline mutually agreed with the entities and set out in Exhibit A of the Suspension Order. Under this timeline, members of the public will have 25 days to provide comments on OHA’s Proposed Order, once issued.
