The Health Care Market Oversight (HCMO) program reviews health care business deals, like mergers and acquisitions, to make sure they won’t harm people and communities in Oregon. 

This transaction is currently undergoing comprehensive review. OHA has requested more information from the entities. The review period is currently paused until the entities provide the requested information.

Community Review Board

OHA has formed a community review board for this transaction. Community review boards are temporary groups formed solely to provide input to OHA about a particular health care business deal. The community review board has two key roles:

  1. Help OHA understand how a deal could affect people and communities in Oregon.
  2. Make a recommendation about whether OHA should approve a deal to proceed as planned, apply conditions to the deal, or disapprove the deal.

Health Care Entity Conflicts of Interests
ORS 415.501(15)(e) directs OHA to post to its website information about potential or perceived conflicts of interest among executives and members of the board of Kroger, Albertsons, and C&S Wholesale. To date, no conflicts of interest have been disclosed or surfaced in OHA’s review of the proposed transaction.
